Ferrari F80 – Liechtenstein Private Members AG
A five-member collector structure
This Ferrari F80 is currently part of an existing European vehicle portfolio. Supercar Sharing AG is first assembling a selected group of prospective members. At this stage, expressions of interest are collected before the dedicated Liechtenstein company is incorporated and before the vehicle is acquired by that company.
The proposed ownership structure
Up to five selected shareholders, with a target allocation of 20% each.
Once the member group and final terms are confirmed, a dedicated Liechtenstein AG will be incorporated as a single-asset vehicle.
The Liechtenstein AG will acquire the Ferrari F80 from the existing portfolio and become the sole legal owner of the vehicle.
Each member’s economic participation, voting rights, transfer rights and vehicle access will be documented through the shares and the final shareholder and vehicle-use agreements.
From interest to ownership
Member formation – expressions of interest are collected and the final group of up to five participants is selected.
Legal structuring – after the group is confirmed, the Liechtenstein AG, shareholder agreement and vehicle-use framework are prepared with the appointed legal and tax advisers.
Acquisition and transfer – following due diligence and closing, the AG purchases the F80 from the existing portfolio and the vehicle is transferred into the company.
Operation – registration, insurance, storage, maintenance, bookings, handovers and usage rights are implemented under the agreed operating framework.
Ownership, governance & access
The intended model separates vehicle ownership from day-to-day management. The Liechtenstein AG is intended to hold 100% of the Ferrari F80, while each selected member is intended to hold 20% of the company. Reserved matters such as a vehicle sale, material financing, major extraordinary expenditure, admission of a new shareholder and changes to the operating framework will be governed by the final shareholder agreement.
Driving days, mileage, booking priorities, approved drivers, insurance, deductibles, transport, storage, maintenance, damage procedures and exit rights will be defined before closing in a vehicle-specific use and operating agreement.
Role of Supercar Sharing AG
Supercar Sharing AG coordinates the member formation, vehicle sourcing and due diligence, supports the Liechtenstein structuring process and can manage the agreed operational services after acquisition. The vehicle itself is intended to be owned by the dedicated Liechtenstein AG after closing.
Current project status
Member formation is currently open. The Liechtenstein AG has not yet been incorporated and the F80 has not yet been transferred to it. Final implementation remains subject to vehicle availability, due diligence, signed participation documents and legal, tax, regulatory, registration and insurance review in Liechtenstein.

CO-OWNER INFORMATION
Liechtenstein AG Member Allocation
Five shareholders. One Ferrari F80. One dedicated company.
The intended structure provides for up to five selected members with a target participation of 20% each. After the member group is confirmed, a dedicated Liechtenstein AG will be incorporated and will acquire the Ferrari F80 from the existing portfolio. The AG will then hold 100% legal title to the vehicle.

Indicative allocation
The current indicative minimum participation remains CHF 1'351'493 for a 20% allocation, based on the current vehicle-value calculation and fee basis. The final capital contribution will be confirmed before closing and may reflect the definitive purchase price, exchange rate, company formation, tax and registration treatment, insurance, operating reserve and agreed transaction costs.
Usage rights & member agreement
Each 20% participation is intended to carry a defined vehicle-use allocation. The final agreement will specify annual driving days and mileage, booking rules, peak-season allocation, approved drivers, insurance and deductible requirements, permitted destinations, storage and transport, maintenance responsibilities, damage procedures and additional-use charges.
Share transfers, rights of first refusal, valuation, member default, succession and the eventual sale of the vehicle will be governed by the shareholder agreement. No ownership interest is created by an expression of interest alone.
Implementation sequence
Select and confirm the prospective member group.
Complete legal, tax, regulatory and vehicle due diligence.
Incorporate the dedicated Liechtenstein AG and execute the shareholder and operating agreements.
Fund the company and acquire the F80 from the existing portfolio.
Transfer the vehicle to the AG and activate the agreed registration, insurance and member-use framework.
